What is a GDR?
GDR is the acronym for Global Depositary Receipt. GDRs are negotiable certificates held in a bank of one country, representing a specific number of shares of a stock traded on an exchange of another country. GDRs usually make it easier for institutions to invest in foreign companies, due to lower transaction costs, but they may be thinly traded and volatile.

GDRs allow purchasers to gain exposure to companies, which are listed on foreign markets without having to purchase the shares directly in the market in which they are listed.
 
What are the details of JKH GDRs?
JKH issued 2,250,000 GDRs representing 4,500,000 ordinary shares of JKH (i.e. conversion rate of 1 GDR to 2 ordinary shares) in March 1994.

These GDRs are listed on the Bourse de Luxembourg and the depositary is Citibank NA. As the GDRs are included in the total issued share capital of the company, there is no impact on the share capital upon conversion.
 
What is a stock option?
A stock option entitles the participant to subscribe for new shares during a predetermined subscription period and at a fixed subscription (strike) price determined in the terms and conditions of the stock option plan. Stock option plans are long-term incentive programs offered to employees.

The incentive is related to the market price of the company's share; participants benefit if the market price increases from the fixed subscription price (strike price) during the plan period. Once exercised, stock options result in an increase in the share capital of the company.
